Potential threat from the weather to Saturday's match

Given the forecast this week leading upto the game this was always going to fall foul of the weather. Only chance was the weather not being as bad as forecast but seems this was pretty much spot on so no surprise it’s off. I suspect if we’d been playing a normal run of the mill team it would have been called off yesterday but it was given every chance to go ahead because of it being a local derby. Last season a call off like this would have been disastrous given our finances. If the game had gone ahead there was a chance it might not have finished as conditions haven’t improved and that would have resulted in a much worse situation with a destroyed pitch and players expending needless energy. At least now players will be fresh for Tuesdays trip to Gateshead and the pitch will be in a better state for upcoming games. Id be surprised if Oldhams pitch would have been in a fit state to stage the game given this weather.

I assume the delay with the new kit is because we didnt place an order until the takeover was completed and it was sure we had the funds in place to continue. Now were back of the queue in the manufacturing it seems. Only week and half to start of next season so looks like it'll be touch and go whether it'll be ready even for the first team to wear.

The social media output has been bare minimum with no reaction from the manager after any of the pre-season games. As other have said a very low key build up to a season. Something to question at the upcoming forum.

Be interesting to see if these next two home friendlies give an indication of a tweak in the tactics to show more intensity and an attacking intent. I would expect to see something more resembling the starting 11 v Boston. Gauge referred to possession-based attacking football today indicating there may have been a word to Jim on producing a more entertaining brand of football. We will see.

Have thought that in both games so far that this is just like watching Dale from last season. Slow, lethargic build-up, no intensity, always looking to pass back rather than forward, constantly recycling back to the centre halves rather than getting a cross in. And Saka (Hayes) being the only one trying to make something happen. At international level this used to be the common way of playing but so far England are an outlier playing in this way. Even some of the lesser sides like Georgia are playing effective, higher intensity stuff. I just hope McNulty wasnt sat admiring what he saw today in Frankfurt.

Club Statement. Deal done

My understanding is that you are still a shareholder therefore should still be invited to meetings. Your holding has just been diluted so will now be a lower percentage of the club than before the class A shares were created. For example i think the trust previously held around 11% of the shares but now that will be more like 1% although they will get to hold the all important golden share.

Some of the remaining 8% of class A shares may have been bought by other existing shareholders if they took up their pre-emptive rights in the recent 2 week window. I dont think many would have done this though as it could have held up the take over. So i assume the remaining 8% could still be bought at some point.

The list seems fair enough to me. Bit harsh on Sinclair perhaps as maybe he offered more than Mather did on that side. I'm sure he'll get plenty of offers at NL level and will almost certainly score against us next season if that happens but if it frees up sufficient funds to get some one like Hayes in then its worth it.

We are also very light in centre-mid and were lucky last season that Gilmour and East stayed fit all season pretty much. If we could pick up the likes of Whelan or Francis from Gateshead then that would certainly bolster this area.

On the whole the recruitment has been much better this season. Whether thats down to McNulty or MRKT or a combination but hopefully this will continue. Assume relations with MRKT will resume once the Ogdens get control and we have a budget for signings.

For me I think EEL has had a decent season and is deserving of a new contract. Maybe at reduced terms to reflect the national league level. The way the centre half’s are being asked to play means theres always going to be some mistakes. He might not have that many direct assists but a fair amount of our goals have started from an EEL ball forward. Finding a better replacement will be harder than people might think.

Seems very unfair on Gateshead fans, players and staff. Surely should have let them at least compete in the play offs. Tough ask for them to win them anyway but surely then they could have sorted something out. Also surely Alty should have been given the bye given they finished above Solihull. Shambles all round.

Dale Trust Meeting With WSH LLC

That does seem to be the case and it doesnt sound that a specific investor is lined up yet so i find hard to believe a takeover can be completed with sufficient due diligence by end of the month. You have to wonder why we seem to have put all our eggs in this one basket with WSH in that case. How long is this 'short' period of exclusivity that weve agreed to with them i wonder.

To me our chances of liquidation/administration have increased somewhat based on that.

By my reckoning if WSH only bought the 9 million 'A' shares at 22p (total 1.98M) that would only give them a smidge under 87% of the total shares. To get to 90% control they'd need to also buy up the unsold shares that were issued at £2.35. Not sure exact amount of unsold shares there are but it was around 375k. Buying up these would get them to 90% i think and total outlay for them to achieve that would be 881k (2.35 * 375k) + 1.98M = 2.86M

So still a fair bit left after paying off the 'friendly' debt. Gauge has said he'd take equity for his debt so that would leave more cash in the club to invest.

Is it 75% thats needed to pass the resolutions? Seem to remember reading that on here but cant remember for sure and the stuff sent to shareholders in the email doesnt say what is required to pass. If it is 75% then this is more likely to be achieved via a poll than show of hands i think as the directors own around 50%. Key will be the way the trust votes based on the their poll. Assume for the trust if more than 50% vote for a resolution then all the trust shares count.

Its an interesting listen.

Sounds to me that there is a US-based investor waiting in the wings that has dictated terms for investing and has said they will proceed should the resolutions get voted through. Surely the trust should be allowed to meet with these people prior to the egm.

And now the clubs plight has been publicised suddenly there are a number of other interested parties getting in touch. Not surprised at that as 2million quid for 90% of a club that owns their own ground now looks an attractive deal.

Would administration mean that SG has less chance of getting his 556k back than if the club was just liquidated and assets sold?

Tbf i can fully understand why he would want to safeguard getting the cash back as its a significant sum.

This is my understanding of the plan...

One of the resolutions is to create 9 million 'A' shares at 22p.
9mill * 22p = £1.98 million

So pretty much the 2million being called for. This cash would go into the club.
I assume a new investor would buy all these shares.
The existing total shares in issue i believe is 1.35 million so adding the 9m gives total of 10.35million shares.

Therefore a new investor would in effect own 87% as a result so they'd only need another 3% to get to the 90% threshold. Gauge or one of the other directors could sell some or all of their holding in a private sale in order for the new investor to get to the 90%. There is also a number (300K?) of available 'ordinary' shares that the club has struggled to flog at an overvalued £2.25 but i doubt an investor would want to buy these at that price. Especially when they are buying the 'A' shares at a massively discounted 22p.

Its possible that the 556k debt to equity that is mentioned would mean Gauge being handed a portion of the 'A' shares by the new investor as these will get priority (if the resolution is passed) in the event of liquidation with holders of the ordinary shares being last in the queue to get anything back.

Thats my take on it but might be way off the mark. I assume there is an investor waiting in the wings should the resolutions get passed but doesnt look like we'll find out who they are until after the EGM.

The chairman says liquidation not admin so in effect the club no longer ceases and all our results are expunged probably meaning just the bottom 3 go down. Incredible to think weve gone from being in the play offs to be being 3 points from relegation in less than a month.

Wealdstone have had to switch their FA Trophy game to Hendon tonight as their pitch is waterlogged again. Third time they've postponed that game at their place.

Can see the clubs thinking on this in that rain is forecast today and a late postponement would see us having to fork out for Borehamwood's travel costs i think plus other costs we'd incur if postponed late. Also given our current form and likely poor crowd there's not much desire to get the game on. If we'd won our last 4 games then maybe we'd have put more effort into to get it played.

I think the main frustration people have is the very slow tempo of build up akin to a Serie A game and often choosing not to cross and instead recycle the ball back to retain possession. I'm not sure if this is partly to maintain energy reserves due to the small squad and lack of options off the bench. Watching from the sidelines it certainly doesnt look all that tiring to play in this side. Often ive seen us work the ball through a side that presses but then dont go for the jugular and allow the opposition to get back behind the ball.

Now that we have most players back i'd like to think McNulty would encourage a higher tempo knowing he can swap in some of the front players to inject more energy. I hope someone can quiz McNulty at the forum about the tempo specifically.

Gateshead play a similar possession-based style but are much more incisive with their passing and play at a higher tempo.

The tactics themselves are quite brave and attacking with us pushing the full backs on and playing with wingers on both sides but opposition managers have worked us out and know that we will keep playing the same way so just sit in and wait for us to lose the ball and hit on the break.

New Signings Required Urgently

Considering the small squad of senior players this situation was always going to happen with injuries in key areas. It seems we’re now left with one senior 39 yr old striker available for at least a month more likely two. Assuming we’ve no plan to recall Tahvon Campbell then we really need to get someone in on loan. It sounds like we’ve no money to get someone in but could the Dale trust help with aid of fans assist in funding this?
