I don't suppose they are required to agree to anything.

It looks like the Americans are just making four or five different deals to buy up individual shareholdings to gain one big majority stake and the trust have been kept out of it as they are not required one way or the other.

Aye, I get that depressing inference. Company law says different though as I understood it (maybe misunderstood it); but this is exactly why minority protections exist so that minorities can't be railroaded and stitched up.

It is not possible to do it though if there is a shareholders agreement with a right of first refusal which we've been assured that there is - simple.

The inference in the article is that the principle of a deal has been agreed - paper work to follow. I don't suppose the sellers need to consult anyone whilst consulting to agree a sale price do they? Only now that the deal needs to be ratified will the trust be brought in to discussions, unless they have not been forthright with us either.

No. The details of the offer would have to be made available in order to fulfil the obligation. So even if the Trust didn't take up the right, the details would be known (and they would by the way have a specified length of time, often 90 days) to do something about it,

There are also protections available as minority shareholder to explore and also something known as quasi partnership rules which may apply in this case as well. The Trust can't simply be ignored.

Apologies if I'm being thick but have the trust said that the details of the offer have not been made clear? I appreciate that they haven't said where any (spending) money etc is coming from or what plans they have once they've bought it.

Would they have to reveal the identities of the parties at this stage? What if the buying parties were limited companies, which is very likely? Would the trust be entitled to names? I guess not??

Someone is being economical with the truth I believe, but when lawyers specialising in company law get involved (which they surely must be by now) any mis-representation or not following due process will be called out and stopped due to serious legal issues occurring / the deal will go through and that WILL mean the Trust have been consulted and been offered 'fair and appropriate time' to respond to any offer to sell shares
