I am not sure about this, but because of the way the ownership of the shares in Swansea City have actually been made, it might be that two "owners" could allow the American investors virtual control of the Club, without recourse to the present Board of Directors, the Trust,or the remaining shareholders.
We are often told that Martin Morgan and his wife own 225,000 shares in the club and that Brian Ketzon owns 200,000 shares which together equate to 50% of the total shares issued.
In fact they actually own no shares at all.The shares are owned by Oth Limited (225,000 shares) and Five Thirty Limited (161216shares) and T L R Investments Limited (38784shares)
It can be assumed therefore that Oth Limited is owned by Martin Morgan and his wife, and the other two companies by Brian Ketzon and family.
Without knowing of any legal restrictions,both Martin Morgan and Brian Ketzon could sell their shares in Oth Limited, Five Thirty Limited and T L R Investments Limited without any recourse to Swansea City Football Club and let in the Americans through the back door.The shares as such would not have changed hands, they are still owned by the same Companies (where incidentally they are shown as investments on the Balance Sheets of those Companies), it is just that the Americans have control of those shares.
If the above is legally feasible, then the Americans could contain absolute control by buying in exactly the same way the shares allegedly owned by Dineen but which are in fact owned by Bulk Vending Limited and Van Zweden whose shares are owned by Swansea Jacks Limited.
If the above scenario was possible,and I know of no reason why legally it is not, then the Trust would be powerless to stop it, and would receive nothing for their shares
I would hope there are provisions in place to stop the above happening, otherwise the Trust could be doomed.

I am going to say this only once. I don't suffer fools gladly and I intensely dislike repeating myself.

I have explained to you and others in detail at least 2 or 3 times previously why the notion of the magic 25% Trust shareholding was nonsense in the current situation.

Even Lisa, who I can assure you reads my posts very carefully indeed, has been cautiously distancing herself from her prior wild claims that her scheme - as purloined from Noclue - was the ultimate protection, but you failed to grasp any of this and continue to spout crap.

I have no wish to see the Trust waste its sparse resources on such abject stupidity so I will not cease to comprehensively expose it especially as it appears to have the support of Uxbridge. But on the fourth time round don't expect me to wrap the intellectual demolition of this crap in cotton wool for your delicate little ears, or in order to win one of St Dav's boyscout professional advisors' badges.

The reason you fail to grasp it is because you have developed a near religious conviction that Lisa and Noclue are peerless experts in the world of finance. They say in the land of the blind the one-eyed man is king, but in reality while they may be accountants there is very little overlap between accountancy and corporate finance. You believe they are peerless, I know for a fact they are largely blagging it, and have proved it time and time again.

That said I am a firm believer in religious freedom, and as such fully endorse your right to accept the multitude of totally unsubstantiated claims that I have somehow been destroyed in substantive argument. Go with Lisa and Noclue, my son, but don't expect me to pander to any of your collective claptrap.

This was a thread that was started over two years ago.If anyone takes the time to read through it again they will see that all the worst fears expressed at that time have come to fruition.
Although I started this thread I have no satisfaction at all in seeing the views of those contributors who were right and those who were wrong.
I just feel so sad that those directors whom so many had great trust in,have let this great club of ours down so badly.
It is still inconceivable to me that so many people who had got involved to save this club originally, were afterwards prepared to wrip it apart for the sake of making themselves ,not just rich,but as rich as they possibly could to the detriment of all their original principles .
Two points that occur to me now.The motivation for selling was because at that time they felt the club needed outside investment to move it forward.
Well that additional investment came in the form of the 60% increase in television rights.Since selling theirs shares not a penny of that money has so far been used by the new shareholders, despite every other club in the league using all or part of theirs.If of course they had not sold then the likelihood is that that money would have been used.
Also by not involving the Trust they actually took the Trusts share for themselves.In other words if the Trust had known about the sale and agreed to the sale and cashed in their share, all the other shareholders would have had 22% less from their sales.Could this have been the real motive for hiding it from the Trust? If that is the case then those shareholders stooped even lower than the rats that they have proved to be.

Yes, without doubt, it has to be said.

Personally I viewed the Trust as a partner rather than a policeman, as I thought everyone was pointing in the same direction. How hollow that sounds now as the scum count their grubby gains.

I still think it's essential that we are careful not to bayonet the wounded, and target our attacks on those shameless scum that really deserve it. That goes for anyone that has unfairly gained financially by deliberately taking us for the trusting fools, like me, that we were. But for me, especially those that are still milking our club, are are looking to do so.

In due course, the Trust needs to be subject to more oversight from folks like T2C to ensure that it develops into an effective force...always assuming there is a platform at all after this weekend. HC also needs to be pressed to ensure that any nasties under stones that remain to be turned over that he has knowledge of are declared now.

You are openly going on record as saying you don't know that much yet you're willing to diss Shaky's credentials. None of you know who he is, what he's got, yet you're all willing to take a pop at him for what? Telling it as he sees it and ruffling a few feathers along the way.

Do you know what - this is a small club and never more so has this been highlighted than now. We've all got friends here and there, we've all got people we hear things from and who we have built up some kind of friendship with.

This is the problem.... This has ALWAYS been the problem.

When the two Trust Directors of note have been that tied into the club itself it's time to start asking some serious questions. And not the questions that you're asking now and certainly not dissing strong voices who are willing and able and conscience free to do if themselves, it's time to get some cards finally on the table.

Yeah, I went there looked him right in the eye and asked him every question I'd ever mentioned on this site, and there were a few.

He came prepared with share certificates and all sorts of other stats. It got heated here and there but fair play to him he fronted up to everything

Huws been asking the wrong questions. The questions that need answering are:

1. Why do we now suddenly need outside investment?
2. What checks will be done on any new investors?
3. What is the number one aim of the board? Has it changed since the day they took over (which I always thought was safeguarding the future of the club, irrespective of the league we're in) and if so, why?
4. Why are we pleading poverty yet taking out decent dividends?
5. Why the smoke and mirrors over this and why not be honest and upfront with their intentions?

I've got a horrible feeling this is going to go tits up in a massive way.

I'm confused. The way I see it, the club need certain services and work doing and they use the companies of club officials to do so. Are you saying these same officials awarded their own businesses the work and overcharged the club for personal gain? Or did they provide the services at a cheaper price, thereby saving the club money?

I would imagine it's the latter and I therefore see no problem.
