Looked a good away following on the highlights - how many did we take? |

I wasn't quite in line with it, but my initial reaction was the whole of the ball definitely hadn't crossed the line. The linesman wouldn't have had a clue, he was so far up the pitch. It was heart in mouth, waiting to see if he would signal it had crossed the line - thankfully he didn't! |

What a poor game. Fortunately watching online so was kept entertained by the amateurish camera work and attempts at commentary, with summariser Roy (dear God) giving us his pearls of wisdom! |

We're playing pretty well, and certainly had the best chances, but also defended well when required - unfortunately with our inconsistency it's unlikely we'll replicate that in the second half. |

Wonders never cease!! Not only do Dale scrape a win at Dorking, but Odoh scores his first goal since March to win the game for Harrogate... Always knew he was a born goalscorer. |

Watching the forum on YouTube - Simon Gauge totally out of his depth as Chairman - like a startled rabbit in the headlights, not the leader that the club needs at this time. Total lack of confidence in him and his performance. |

That's why true control of a private company only comes when you hold 75% or more of the shares. |

I’ve been through the whole of this thread, and here are my thoughts. We all know that the club has had ongoing financial issues for some time, certainly not helped by on and off pitch matters over the past couple of years. I applaud anyone who is prepared to dig deep into their own resources/savings to assist with cashflow (specifically the two board members who have committed to provide finance to that club), and if I were in their position and assuming it is a big financial commitment to them personally I also would be seeking security for that loan. This is a wholly normal and sensible way to do these things. HOWEVER what I do strongly object to is the way, yet again, this matter has been brought to the Owners (shareholders) attention for their consideration and approval. Whether the board like it or not, this club is fan owned with a diverse shareholder base. The giving of the security is a major financial commitment and obligation and the shareholders expect and deserve sufficient information on which to base such a decision. The official communication by the club to shareholders is pitiful in its lack of information on the matter in hand. This was obviously picked up on by the board with the subsequent statements published on the website, but that was a public communication with nothing included of any real substance. What should have been provided is a business case setting out the current financial position of the club, details of the financial forecasts for the next (say) 6 months (I would hope such a financial discipline is in place), an update on the search for external investment, together with details of the proposed finance to be provided and the attached terms. This could be reviewed and considered ahead of the EGM, could be suitably scrutinised and challenged at the EGM, and voted on accordingly. As an exiled supporter/shareholder I cannot attend the EGM, and we have not been given the facility to attend the meeting virtually. It may well be that more substantive information is forthcoming at that meeting, but that is of little use to me who will have to submit my proxy vote 48 hours beforehand. Based on what I have to hand (virtually nothing) my vote will be against the proposal. |

Apparently they asked the fourth official on more than one occasion if they could make the sixth substitution and he said yes! It doesn't help that there seem to be different rules for every competition these days on substitutions... |

My application also accepted today. It'll be interesting to see how many shares will be issued... |

The Americans have always come across as being professionals (which engender a degree of respect) in their dealings and interaction with the club, regardless of the fact that ultimately their investment would have been a business transaction for them. You couldn't say the same about Bottom, Jarvis, Curran, Rose, Southall... |

Form emailed to me this afternoon - completed and posted tonight together with my cheque (it has actually been over 4 1/2 years since I last used my cheque book...) |

And only those shareholders actually registered with the club and as per the shareholders register can attend/appoint a proxy. The last we heard no share transfers had been so recorded in regards to this group of reprobates. |

I understand that, but the Board can't just remove the pre-emption rights unilaterally. They would need a special resolution of shareholders to be passed (75% of votes at an EGM), and with all that is going on with the shares, that would possibly be difficult to get passed. This week's EGM is not about the pre-emption rights, so that would need to be addressed at a later date. |

Not quite sure how the resolution to be voted on at the EGM dilute the interest of any (legitimate) shareholder - it merely gives the Board the authority to issue shares at a future date. (Legitimate) shareholders would still benefit from pre-emption rights on any actual share issue, so they get first refusal to subscribe to the new issue with just the purpose of not diluting their shareholding. This dick really is trying it on, and I would hope and expect any court to throw out any attempts by him to interfere with the legitimate running of a company in line with its Articles and the Companies Act. |
