Surely there's no way that AK would sell to this bloke?


It's just a possibility that Morton House might have agreed with Southall not to allow the proxy on the AK shares to be revoked, as part of the deal they may have struck

Of course, that's purely speculative, but in the absence of movement with the AK shares everything stays on the table

Dont sell them any shares. Dont forget, to date, there have been no share transfers so it seems no one has actually received any money. If theTrust can hang on to the 51% that have been promised to them, the black hats can't assume control . Without passing a fit and proper person test they can't gain control and there are rules about so- called "concert parties" ie groups of shareholders acting together to take over a company against the will of the directors and the other shareholders but I dont think Rochdale's Articles of Association allow for this situation and probably needs addressing. If we can see off the current problems. Also, it occurs to me that there is no devine right to a directorship simply because you are a major shareholder so there is no need to offer them a position on the board unless and until they get to 50%+1.
In short, the club either needs to find a genuine investor or needs to set about buying back as many shares from the rebels as possible and ending the uncertainty.
Or, are ther 1000 fans prepared to put £250 into a fund to try and buy out Kilpatrick and Rawlinson?

Spot on, the sure way to prevent this is to control over 50% shares. AK shares seem to be pivotal at the moment.

I’m sure AK doesn’t want to sell to anyone who would put the club at risk. Hopefully the sale to the trust can be sorted or at the least Kelly keeps his shares and comits to not selling to anyone and stands behind the trust

It's the Board who have to register shares and so far, from the many public annoucements, no share transfer forms have ever been presented.

It would not matter if they were.

The Board need EFL approval to register Morton House's 42% shareholding under the EFL rules and the EFL are currently conducting unconcluded disciplinary proceedings into the deal and why it completed WITHOUT EFL approval.

Until the EFL approve that deal, they can't approve any subsequent deal and any new owner from Morton House (Matt Southall) or otherwise would need to be accredited if they wanted to run the club or otherwise there are a minority partner.

Remember, Andrew Kilpatrick as the largest individual shareholder had 22%. That's an illiquid unquoted investment which is hard to turn back into cash, particularly with the world and the EFL watching closely.


So is it possible to fail the EFL fit and proper test, but still be allowed to own a significant number of shares in a club - provided its under the 30%?
If Morton House have been deemed not fit and proper - doesn’t that render the transactions (at whatever stage they are/were) void?
And I recall Simon at the AGM, saying something along the lines that despite where the sale of shares were at the time (far from complete was my sense) if we were to hold an EAGM - they’d have the nod to vote on those shares….
If we held an EAGM now I reckon we’d need to hold it in an aircraft hanger to accommodate all the interested parties.
Shister investors presumably realise that the our stadium name is not reference to some untapped geological phenomena?

Sadly, we have a former CEO who has an important list of shareholders who is hawking his list to the highest bidder. 1. Someone he met at Swindon. Failed. Now someone he met at Charlton travelling with the bloke who was there telling us there was another match in earshot. Guess who! 4-4 draw I think.

Who next is in the former CEO phone book? Probably some coont he's met along the way in League 1.

The only hope is to see the former CEO locked up. But other fans would rather harsher punishment I hear on the terraces.

Funny how that poster has disappeared since you challenged them isn’t it? Almost exactly the same as when JPSdale did a vanishing act when a certain somebody was challenged on it.

I don’t believe in coincidences, and anybody who has helped the Oldham fan hawk this club around is a disgrace.

Bassini is a double bankrupt with rows of skeleton-bearing cupboards.

His DNA is to borrow. His source of funding will probably fail at EFL should he become involved.

It’s very sad and one would hope that eventually some people will value their jobs (or positions) over loyalty to that odious, cheating BIFFO.

Until they do though - and keep giving themselves away with less than intelligent contributions - then it will get called out. The internet is a big place and if you phrase something correctly on google (for example) than things become a little more obvious.

I mentioned the other week about a stench of Bottomley remaining and I stand by it. I believe the Señoritas have given us a slight break from part of the smell for a few days though.

Does anyone know if all the staff have been " reminded" regarding the transmission of private and personal information or data to entities outside the building?

You would imagine that a modern Contract of Employment would have inbuilt clauses regarding data protection and the consequences of not following guidelines but I guess this might involve updating the CoE for some people?

Probably not at the top of the Board's agenda, but "a house divided" and all that.....the last thing needed at the moment are Quislings.

The Trust acquisition of AKs shares will give them.a.c. 12% shareholding I think.

The last hold up was a legal challenge from Messrs Curren and Rose. Unsure where their withdrawal leaves this challenge.

That would seem to imply that there are "volunteers" or similar who have access to information that they might not be expected or entitled to have or are being fed such information by people who do legitimately have access to information.
All this flies in the face of " Team Rochdale" and needs sorting.

What rankles me is the role Andrew Kilpatrick has had in all of this. I am not close to people in the know, but he is the key to where we are even if Bottomley was the architect of the plan.

He was elected Chair for just over two years. His shares were a legacy from his father. Nobody expected him to bail out the club and I have no idea whether he did during covid. But he resigned unexpectedly in February. Does anybody know whether he walked away because they couldn't find a buyer or did he walk away because of a power struggle in the Board room driven by Bottomley? If he always wanted to sell his shares, why to somebody like the Essex boys? If he walked away in frustration maybe he decided to sell his shares because he couldn't tolerate the Board? But surely this outcome wasn't what his father would have wanted?

If he hadn't been open to sell the shares the takeover threats wouldn't be real. His shareholding is a deciding factor over any other. What really went on for him to do that?
