Why did we sign Ngog.The January window now seems to have been a disaster for us.We even got the Ki loan wrong.We seem to have lost the forward thinking mentality that has made us so successful in the past years. At the moment we are like a rudderless ship both in Board and team management.We need to sort things out quick

I'm not arguing with you Shaky as I get and empathise with your underlying argument, but Corporate Governancehas gone way beyond Cadbury in 1992. The UK Corporate Governance code is the baby you need if you're going down that route. That reinorces the split role and the role of independent directorsin spades, BUT of course no private company needs to adopt any of the principles and anyway could simply 'explain' if they wanted to adopt the UK CG code (it's 'comply or explain', by explaining, you actually comply). CG is all about resolving the agency problem and getting transparency for SHAREHOLDERS, not any third partylike fans. With SCFC there simply isn't an agency problem as the shareholders have full representation on the the Board, so there is no CG structural problem.

Hence, private companies can do basically as they like. The issue as I see it is that the Trust director is, in substance, the independent director in this particular structure, and the only real remedy is that if the actual shareholders (the Trust) represented by that Director aren't happy, then they can vote to replace him. Other than that,the way the club is run is at the discretion of the Board, so like it or not - and I'm not sure I do - there is no genuine CG issue here......as long as the Trust ensures that their Director discharges their required remit.

That's how I read the situaton anyhow.

As I indicated I was pretty sure that firstly current practice had moved on, and secondly that the club was obviously not compelled to do anything under stock exchange regulations.

However, the fact remains that the Chairman is voted in at a shareholders' meeting, and the arguments in favour of my key point of splitting Huw's roles in two remains valid.

Every informed person should be able to see that, including Jenkins if he were acting rationally, and if he is not then 75% forces a fait accompli.

Edit +1 (ex typo): You also missed my point that there is a valid argument for protecting the interests of a diversified shareholding base in that the Trust's members hold indirect ownership stakes in the club via the trust; that is the reality of the position.

Don't you feel just a little bit betrayed by the board?


Can't we just park that one for a month? - we are 4 points off the bottom 3 still. People in the ground yesterday were saying all around me "we're definitely relegated now" Talk about premature spunk spreading.

I doubt very much if we will be paying Prem prices if we get relegated.

There would be nothing to stop the club giving a partial repayment to ST's already bought to match a drop in ticket prices

I was a little perturbed when I read quotes from Monk this week about how HJ is at training every day and that he involves himself with discussions on first-team affairs....

...I'm openly apprehensive of Monk as manager, but I'd happily place him, his wife or even his new borns in the dugout ahead of HJ.

Serious question here - or as serious as it can be after 8 cans - are there any set boundaries on HJ's meddling in football matters? Does he just...do what he wants? is there any separation of duties between board and football? Whilst expansion is drifting idly by into the long grass, HJ is at training every day offering his input..............?

The board has not shown the required ability to run a £100m business, they did a brilliant job getting Swansea in to the Prem, but at that point they should really have got in some expertise.
How much is each position in the league worth, about £1m how much is staying in the Prem worth £60m+?
Let's face it as businessmen they did not exactly set the world alight.

That's right though? A manager reporting to the board on executive performance against company strategy is different to the board taking his executive decisions for him.

Would they? maybe not as there would be 4 extra home games in the price

I'm not supporting the board for one minute here as I've questioned their decisions over the years.

I'm not one to go overboard as I don't know enough of what is going on, on a day to day basis etc.

BUT I have thought for quite a while that the board COULD have taken us as far as they can without a change.

Getting the right change could prove more difficult than finding a change in manager to keep success going
