A beautiful evening this evening at Spotland for one of the most eagerly anticipated fixtures of the season.

Team news when we have it, but the Board are expected to play a flat back 5.

Zoom is filling up nicely with many in attendance.

Just to give you an idea of how sneaky they were on the night....

On the first Resolution voting slip from the adjourned 2020 EGM, our options were:

YES - I agree to remove the restriction of authorised share capital and delete this from the Company's Memorandum of Association.

or

NO - I do agree to remove the restriction of the authorised share capital.

The "not" before agree had been omitted!

Typo my arse!! They really do think we're stupid!

Obviously, it was spotted and admitted to prior to the vote. After being pointed out, they withdrew the motion.

It was just one of about a dozen "oh we've got that wrong" moments.

Like Trevor Butterworth blurted out, "all your names should be on this ballot. You're all bloody useless! We're not Manchester United, we're Rochdale!"

At 83 he still commands a presence.

As did all the overcoat men present.

This beggars belief.
Just shows you how sneaky they are trying to be, or even worse how incompetent they are at their jobs. Give them a pay rise!

It has been rumoured that 30% would be nearer the mark.

We need an answer to this. It seemed to have been " fudged " at the meeting. TP saying 10-15% Smallwood asking him to re-visit that figure so he knows that`s not correct. SL is not the only one to hear of the 30% figure I heard that myself. In the current climate a 10% pay rise is massive, 30% is obscene, and who approved this ridiculous pay rise ?

I think it is worth mentioning that last nights outcome was in part made possible by the wide distribution of shareholdings.
My memory is vague but at some point (20-30 years ago?) a decision was made to issue new shares and make them available for anyone to purchase. The rules of the share issue being designed to encourage widespread ownership. The idea being that if the shareholdings were spread between many rather than a few, the chances of the Club falling into dubious hands was greatly reduced.
I believe this is where we differ from many other clubs.
I can't remember when or which Board instigated this, but they deserve our thanks.

When everything that happened with the lottery last year, I had a meeting with Bottomley to thrash it out. I know for a fact he lied to me about the old Goldbond system. He also said and I quote:

“Myself and other directors have taken a 50% pay cut to keep the club afloat”

He didn’t say who the other directors were, but he clear as day said he had taken a pay cut. Another lie.

Agreed. Furthermore, if this was re-opened, I'm sure a lot more would take advantage (including me). Which would also allow some more money to come into the club.

Could it be the 10-15% was the average increase of Boardroom pay overall with Bottomley getting the rumoured 30%?

After his "form" on the Hasbro case, I will try to be diplomatic and avoid a libellous accusation by noting that it is very clear which direction his moral compass points. I am surprised by nothing I have heard. A leopard cannot change its spots.

Well done to all who could see right through these plans, I reckon the club would be goosed without you all. You just don’t expect people to be that way inclined, or at least I don’t. Hopefully something will come of last night where you all get the plaudits you deserve with the trust being an example to other clubs. Looking forward to a full report/video of last night, if it becomes available.

Isn’t he the only director that is a payed employee? So the only one that had taken the pay cut.
I still can’t get my head around the fact that the old goldbond system was taking over £17,000 a week in its hay day, now takes about 10% of that a month. Someone should have been held accountable for that amount of loss of earnings.

If this was a deliberate act on the part of the controlling minds of the Club, that is contemptible.

If this was an accidental oversight caused by poor production, absent governance, no proof-reading and general amateurism, then that is equally contemptible, given what was at stake.

The door has correctly been shown. Time for the incumbent CEO to depart that role too.

It was a direct question to the CO. And the answer twice came back that increase in pay for "an executive of the club" had gone up in the region of 10-15%.

This prompted John Smallwood to ask if the Board would like to reconsider the percentages. In other words; he strongly disagrees.

it will all come out soon enough.

Bottomley simply has to go now following what I can only describe as the biggest humiliation I have ever witnessed an any Board meeting I have attended. His position at the football club is completely untenable, and the remaining Directors will know this; as did everyone in the room last night.

An absolutely astounding read.

The sly way the 'not' was left from the vote, people in power not knowing about BBM's extension and a pay rise that make a mockery of everything that's gone on financially over the past year is all shocking to read about,I know that it's been said before but if you haven't joined the trust then do so because the more that join the louder the voice and they've earned their fiver over the past few weeks

Well done to all of you Daley's in looking out for your club and showing that directors can't just do what they want,I doff my cap and applaud all of you

Fellow Trust members and fellow Dalies should hold their up high today after yesterdays AGM/EGM.
As somebody said the real work starts today.
If that means bringing CD back into the fold then so be it, the club needs to move forward now and engage properly with the supporters as we all need to be as one.

We were told that this and the whole corporate governance was subject to a full internal “investigation “ led by Andrew Kelly (No independence there then!) and not surprisingly everyone was cleared of any wrongdoing - yeah right. Makes you wonder if they’ve all got some dirt they could dish out. Trevor Butterworth was bang oN the money when he said all their names should have been on the list of resolutions. I really felt sorry for Tony pockney last night. I think he’s a good guy but I feel last night some of his loyalty and discretion was misplaced. He had a Very difficult job last night in difficult circumstances - you could see he knew the answers to many questions but rather than just saying them he referred to others to establish how much he could say. It’ll all come out in the wash though ....... eventually

Am I the only one worried that last night’s revelations may merely be the tip of the iceberg?
It looks like the CEO has just been allowed to do as he pleases without any sort of control.
No checks or balances.
To my mind everyone who was on the board since CD is complicit in this neglect.

Yes the Board are responsible. If the internal review cleared all of wrongdoing, that suggests that the Board have delegated all responsibility to DB and he did what he felt was right. How they can claim to be active custodians of the club in that context beggars belief.

For those on the call, was there any discussion around our forward financials and the plans for the next 12 months. How solvent are we etc

The only real allusion to next year's finances was Nick Grindrod confirming that the finances up to May 2021 will show a loss, which is no surprise.

However, at the beginning of the evening, during his presentation of lots of photos of other club's training facilities, DB threatened that we'd be out of existence in a few years' time if we didn't find investment for our own facilities. The last stand of a desperate man.

Too bloody true we need an answer to it.

We're in the middle of a pandemic, staff laid-off, people losing their jobs at the club, playing budgets slashed, playing squad reduced and yet someone sees fit to take/award/accept (delete as appropriate) a pay increase equal to 30%. It's dreamland. Then you can plead poverty on behalf of the club and talk to people about a 'managed relegation'. Yes, that actually happened. In both senses of the phrase.

John Smallwood deserves our gratitude for not staying silent when it was obvious that there was more to be told. Referring back to something mentioned by R17ALE a few days ago, I well remember John and his late father standing on the terraces behind the Pearl Street goal, when it was a cow shed and a few steps in the 1960's. He has been a dyed-in-the-wool fan of this club for as long as I can remember.

As R17ALE asked, can anyone ever remember any of the other people present at the top table, ever pitching up at Spotland, paying an entrance fee and standing in the open terraces with a brolly, watching a home defeat against (insert team name here). No. I don't and I've been going as long as many others. These claims about 'loving this club with a passion' and 'lifetime supporter' just don't add up. Especially when you are finally exposed as someone with dodgy credentials and a lack of empathy for others.

From me and others, John Smallwood - A big thanks for having the guts and integrity to challenge the deliberately misleading comments and make us all aware of the mistrust and dishonesty in evidence. Of course, that's a Dale SUPPORTER in action.

No wonder the sun is shining brightly over Spotland today.

“It is easier to fool people, than to convince them that they have been fooled”

They were playing Project Fear regards the numbers saying we'll lose £1m in the next set of accounts. That may well be true, but to claim we're running to a shortfall of £1m per year didn't scare me. It reminded me of their incompetence.

DB even tried to use Reading FC as an example of what a town like Rochdale could achieve, as though we'd magic a John Madejski out of thin air.

What he failed to mention is that Reading have accounts which show a £72.1m loss in the last two years.

Then he waffled on about Steve Parkin asking for a new training facility in 1998. At that time he was manager of Mansfield!

I've rarely seen someone so completely out of their depth, blundering away foolishly, with a face full of thunder.

I'd actually forgotten about the Reading comparison - Fleetwood were mentioned a lot too, as were Rotherham and Doncaster.

He is the only paid Director I think.

For clarity, Goldbond was 17,000 members at 50p = £8500 take per week producing profits in excess of £5,000 per week after commission, prizes, wages, petrol etc.
