From the Trust site The Trust understands that Nigel Morris plans to invest into the club in return for just under a 20% share in ownership and will be doing this through his own investment vehicle Draig LLC, rather than through Swansea Football LLC. This investment will affect the respective shareholdings for all current parties, with the Trust’s shareholding in the club becoming 11.82%, (including its 5.00% permanently protected ownership position) https://www.swanstrust.co.uk/news/trust-statement-nigel-morris/

All this new investme?nt on 22:48 - Jun 9 by ReslovenSwan1 | The Welsh ownership are always sensitive when asked to share the load. This is not a good optic. "We are skint". (worth a whopping £22m in 2016). Fans were more concerned giving other board member a bloody nose instead of investing and actually helping the club. (Small town politics aided by friendly forums got the better of fans/ members). The accounts say there is close on £1m in the bank getting negligible interest. There was £400k available for elite English advisors nothing for a Welsh football club based in Swansea or kids needing pitches. |
You talk about "kids needing pitches" - Where are the 3G pitches that our owners promised to build in the city, as part of the stadium lease agreement with Swansea Council in 2017??

How does a 20% share of ownership equate to investment into the club, surely to own 20% you'll need to buy that 20% off the owners? I've got shares in a few ventures, but I know very little on how it all works, I just have a little jig when the share price goes up and sulk when they drop

The club creates new shares and the investor buys them from the club. Current shareholders get diluted and their % decreases. New shares add up to 20% of new total shares. Money goes into the club till, not shareholder pockets.

So how much cash is 20% of the club then or is that confidential.

It was me that raised this matter last year in one of the Chief debate volumes recorded in Hansard. [Post edited 12 Jun 2023 21:23]

Let us assume the valuers of the club value it at £40m. £10m is added and the club is worth £40m +£10m = £ 50m £50m is the new valuation. The other investments have not yet been added. £10m of £50m is 20% . The Trust's 13% of the original £40m was valued at £5.2m. (40 x 0.13 = 5.2). £5.2m value of the new £50m is 5.2/50 = 10.4% more or less. The Trust would need to find around £1.5m not to be diluted. Dilution does not necessarily mean finacial loss if the valuation of the club stays at £50m or someone offers £55m for example. The trouble is money invested goes into a bottom less pit and the club valuation drops back to £40m due to poor results or on going losses. If the club could make profits and pay dividends the value would not drop. The best way to make profits is to replace Manning with McFadyan, Grimes with Cotterill and Fulton with Congreve. Josh Thomas replaces Piroe. Wages drop and players are sold covering deficits. Swansea have only paid a dividend once after Bony was sold for £28m and Gomis replaced him. Swansea would need to work to the budgets of Wigan and Blackpool who tried to keep the wages down and stay up. They both failed. Officer Dillweed at your service. [Post edited 12 Jun 2023 22:01]

All this new investment on 20:13 - Jun 9 by ReslovenSwan1 | Based on past experience the £10m will have joined the convertible loan note and due to be spent either clearing debts or investing in maintenance or bringing in players. I presume some of it will be available in the transfer window for new players. Manning and Latibeaudiere oar of the wage bill and Whittaker and Piroe might bring in significant funds. The fans 13% owners approx have around £1m in an account earning nothing. If I was a member I would be asking the board why they are not getting a return in the CLN. Fans are eager to get unknown foreigners to cough up but do nothing themselves. In my opinion the Trust has a "moral obligation" to contribute. What about £50,000? The reason they do not is that they have a "women's institute" mentality and cash is a crude tacky issue well below them. The trust concentrate on far more ethereal matters such as "the long term future of football in Swansea South West Wales". There are 50 plastic buckets somewhere in Cwmdu. As you are not a trust member you have no right to suggest the Trust has a moral obligation to invest. Perhaps you have a moral obligation to invest your own money instead of offering criticism of everyone else.

Ok that makes sense, but how to the other owners benefit from that if their shares are diluted and they don’t get any money out of it, as it goes into the club?

It means that they're no longer soley on the hook for any ongoing deficits, and the additional investment may result in the team gaining promotion, thus increasing the value of their holdings by a significant amount.

We're now in a position where we represent a relatively low ongoing cost with potentially very high rewards for someone. Or indeed a group of someones.
