EGM + statement on 20:53 - Feb 22 by D_Alien | Why are you doing the BoD's railroading for them? Just stop for one moment... it's already been established that the BoD are unable to maintain a contact list of shareholders. They were warned against this last year (twice) and have done NOTHING to try to update their register* How many of those 600+ shareholders won't be contacted within the statutory timeframe? A case can be made for the EGM on 7 March being invalidated on these grounds. I don't know whether it'd succeed or not, but do the BoD want to take that risk? If not: they, and YOU - need to stop this railroading *e.g. there are specific examples where shareholders have provided their email address to the club, and still not received the required notifications [Post edited 22 Feb 20:58]

railroad (verb): to rush or coerce (someone) into doing something. You might not like the facts but we've been explicitly told the subsidy runs out in 38 days at the end of March 2024. https://www.daletrust.co.uk/trust-directors-minutes-of-meeting-held-thursday-25t As we are all aware, the club continues to trade as a direct result of on-going financial support from Simon Gauge and Richard Knight. I'm not providing subsidy and that's not my statement. If all the current Board of Directors were all hit by bolts of lightning tomorrow, that would not change the situation for the Company on 31st March 2024. The Company has to operate on a legal basis. Would players play for on Easter Monday vs Hartlepool United if they know they are not going to be paid? Would the police allow the stadium to open and fans to attend? Would the brewery provide the beer to drink? It must be accepted that we have been told that we are simply about to run out funding and therefore of time. I'm not rushing anyone and I've said that each shareholder must vote as their conscience tells them on every issue. We are all going to be bound by the consequences of the 7th March 2024, whichever way the voting goes and the stakes are high for anyone who has ever been involved in or with this club in any way.

EGM + statement on 21:14 - Feb 22 by D_Alien | Just one example: "There will be significantly more supporters who love this club than 615 shareholders but legally if you're not a shareholder you don't have a vote." What is this condescending twaddle you're peddling? Do you seriously think anyone doesn't know that? Do the club know who those 615 shareholders are, or how to contact them all? Those "well-attended" AGM/EGMs were attended by perhaps 20% of shareholders at most. Now the club seek to railroad their proposals through on the same basis, and for some reason you're trying to justify their railroading. WHY? AND: i asked you what you thought of the proposal put forward by Mundell yesterday evening. Instead of replying with more condescension: try answering those two questions |
It's UK company law DA. 615 shareholders get a vote on the EGM motions; no one else. There will be loads of people who have a view on the motions, both for and against, but would not be able to vote so their view is opinion and not binding in law. Everyone is free to vote as they wish and they must do so. The club must know who the shareholders are given the FAQ's note they've just issued some recent shares and there is the annual requirement to publish a confirmation statement. EGM + statement on 21:09 - Feb 22 by 442Dale | What the hell happened to Rochdale AFC? History remembers. |
What is going to happen is either we are going to run out of funding on 31st March 2024 or possibly find an investor. We have been clearly told the former means we will be liquidated and the latter means we might continue to trade. And that is what history would say. A wise sage said on 1st October 2021 relating to another EGM, "Rochdale’s problem isn’t debt, it’s that their fan owned, break-even operating model is likely to make it very difficult to compete in the EFL so that the club might end up in the National League or even National League North. However, it’s very unlikely even then that the fans would allow the club to fold and they have control. That person wasn't me but like a lost prophet predicted many things that have subsequently transpired.

DA will sleep easier 442 tonight knowing he's not actually being railroaded. Nevertheless, we are grateful for the opportunity to start the “Dale fans will have you on toast procedure” only to find we could be part of a decent banquet. And An overview of findings could be published

For once, I’ll hold fire on answering your question beyond referring to my previous thanks to the Trust. Should you have the inclination to answer some of the simple questions put to yourself recently, I might return to answering this one. I might even answer it before then as well. You're a diamond 442. I'll wait for the white smoke and the U-Turn where you tell everyone to vote for the EGM motions in order that the club can move forward. Because that will mean investment, probably new directors to supplement those who stepped forward in 2021 and a fighting chance. The other alternative is liquidation which I don't want and I don't think anyone wants. Rochdale AFC's Articles from 1910 aren't relevant to modern day football and when they change, so can the club. We'll know in 14 days time.

What is anyone U-turning from? At what stage did I say definitively which way to vote? I have neither the arrogance or the audacity to say how anyone should vote, they should make their own minds up on all the available evidence. Not just the stuff I ramble on about. Missed the other question again, did you?

I'll sleep well anyway, and i've never been railroaded in my life and don't intend to start now, which is why i've replied to you Looks like there is an alternative, after all, after your insistence there wasn't. It's the alternative i called for - for the club to start talking, and the Trust statement is a beginning - just a beginning Maybe you'll be able to sleep easier now you won't have to continue justifying the unjustifiable. EGM + statement on 01:18 - Feb 23 with 2925 views | mikehunt | Railroaded or not I find my choice is to vote with the board for a (possible) extension of our existence or vote for oblivion. I find it somewhat galling that we find ourselves having to vote for the very things we fought so hard to block under Bumley: namely issuing ring-fenced shares and no pre-emption - effectively losing our voices. All no-nos last time we had an existential vote. I must say, losing my voice is no big deal. I, honestly, have lost the plot. I just want t’Dale to survive. I am, effectively voting blind, because I don’t have a clue what is going on any more. Hope this board doesn’t sell us down the river but I’ll have to hope for the best. UTD!

That may well be the way we all would want to lean, but it might be wiser to just hold our horses till we hear something more concrete Let's not expect too much from those very few individuals who'll be in contact with prospective investors on the Trust's behalf, either Time to just breathe, and wait [Post edited 23 Feb 7:52]

That Trust statement is a breath of fresh air. It is called communication and thank you for the Trusts efforts in all this. Rock and hard place comes to mind for lots of people really and not knowing leads to apathy, frustration and in some cases anger. It could have all been avoided with inclusion and better communication, rather than obtaining it from the press. We must stick together as we did when we saw off Curran, Rose, Jarvis and Southall as we may have another and bigger fight on our hands mid March. I'm sure there will be more fond memories for generations to come of following our beloved team. Up the Dale!

FWIW here's something else to chew on If the proposals were to be passed at the EGM, and the deal with the current prospective investors fell through... ,,, if a consortium of 2000 Daleys each were able to stump up £1000... But that would leave running costs going forward. Still, another alternative when we're told there are no alternatives [Post edited 23 Feb 8:20]

EGM + statement on 08:34 - Feb 23 with 2473 views | pioneer | While this may be potentially positive news, in the short term the longer term implications include the impact of trying to raise money by selling shares to fans in the future. Why would anyone buy shares when the 'value' of those shares can be wiped out at the stroke of a pen ( or a vote of shareholders with a gun held to their head). It's particularly concerning that the Trust will be left with a large pile of worthless shares after all the hard work that was put into acquiring the fufundsnds to buy those shares. Let's hope this potential knight in shining armour treats the fans better than the current board.
EGM + statement on 10:40 - Feb 23 with 2193 views | ramsdale | I feel conflicted about this whole situation as I'm sure most do. As somebody else has pointed out, it feels at times like turkeys voting for Christmas. I don't think anybody can make a wrong decision in voting either way as there are so many variables at play before and after the EGM, nobody knows what's going to happen. However, I don't want to look back in 5 years time and feel like I contributed to the clubs demise in the way I voted (for clarity, I'm still undecided). The Trust statement does fill me with more confidence, and in an ideal world, this mystery investor comes along and keeps us going for many years to come. The thing that I don't like is giving up control to somebody who, let's be realistic, probably doesn't know the first thing about the club, the fans, the town. It's a stark realisation that for the first time in at least my lifetime, the club won't feel like it's ours. I respect the commitment of SG & family as well as the other directors for keeping us afloat, whatever the reasons for that may be, and I don't want to downplay the financial sacrifice they've made. However, where is our say in this? They've run the club like a bunch of stubborn children, not taking well-meaning advice or help from people with either more experienced than them or those who have the clubs best interest at heart, and the clubs best interest ONLY. Why should a board who have made bad decision after bad decision be the ones to make this decision behind closed doors? The prospective investor(s) has/have their requirements for buying the club which they are well within their right to have, but don't we have fans have a right to our requirements for an investor? An NDA is an NDA, but we need to set our own ground rules for a potential custodian of our club. Their intentions may well be good, but who knows for how long? Where is our security in this deal? Surely we deserve to know who we're getting into bed with before agreeing to let them in the front door and handing them the keys. I doubt anybody feels comfortable with the whole situation, but the gravity of our decision here either creates a new age for Rochdale AFC or creates AFC Rochdale
EGM + statement on 10:57 - Feb 23 with 2136 views | wheniwasyourage | I'm not a shareholder or a member of any trust, social media site etc. All this sound extremely complex and a difficult question for those of you who are shareholders. That said, I have never trusted SG, its a pure instinct, probable misguided but I would not trust this guy as far as I can throw him. He seems to be holding a gun to your heads and asking if you want just one in the chest or a double tap... gee thanks. I am also unimpressed with the media campaign, clearly designed to pressure. My thoughts are with the staff who are at risk of losing their jobs and the shareholders who have to decide - but do not place any reliance on any numbers SG throws out, try to audit them or get to the root analysis. Good luck and god bless you all. [Post edited 23 Feb 10:59]
