And rather than asking people for sizeable donations, if we could get 20 people donating £10 a month (or any amount they feel comfortable in sparing each month), it will all add up to either purchase from individuals if that opportunity arises or give us a head start if there is a share issue. | | | |

If A.Kilpatrick, Altman, Marcelli, Rawlinson & Bottomley have agreed to sell their shares to Curran & Rose, and that transaction cannot be completed because the EFL correctly deem them unfit to hold a large/controlling shareholding in a football club, then this isn't over. They have shown themselves to be shithouse custodians of the club. Those shares need to be owned by somebody who gives a shit about the club and not their own pocket, which is probably what the Trust (and probably new board members) are trying to plan for with initiatives such as this. We're talking over 200,000 shares there. It's not an inconsiderable amount, even at the widely recognised value of £2 per share. The more shares that are owned by the Trust, the new board and proper Dale fans, the less are available to unwelcome parties like Curran & Rose. That's why I agree "every little helps". | | | |

As things stand (and I'm sure much cleverer people than me will be able to explain this), if there was a share issue tomorrow, pre-emption rights would mean that existing shareholders have first refusal on the shares to the equivalent of the % they hold. It would need 75% of the shares voting in favour for this rule to be scrapped. So if I owned 5% of the shares, I'd be able to bid for 5% of the newly available shares. Assuming not all shares get bought, then the Board would be able to sell these to whoever wanted to buy them should they choose to - that would enable supporters to become shareholders which is what everyone wants. If I took up my full allocation, and not everyone else did, then my % of ownership would rise due to the unsold shares, and this is the risk of a share issue at this moment in time. I don't think it's been answered elsewhere but it's something I've thought about too. I already told others that I'd happily invest when the share issue came along, but I think the immediate focus should be trusted custodians acquiring any shares 'at risk', which means shares owned by A.Kilpatrick, Altman, Marcelli, Rawlinson & Bottomley (if the EFL correctly deem Curran & Rose unfit). We shouldn't be looking to step on the toes of the new board or Trust, they should be very much first on the list of 'welcome' buyers if 'at risk' shares became available, but I also think a number of known Dale fans would be willing to purchase remaining 'at risk' shares in their own name if they're available at a reasonable price. I made a private but genuine purchase/sale offer for some of Bottomley's shares when it became apparent that Curran & Rose were on the scene, and said I could find others willing to do the same if he wanted to redeem himself even a tiny bit by selling his shareholding to Dale fans. I didn't get a response. I don't know how we'd go about pulling that list together, or what the proper process is, but I'm more than willing to help with that. [Post edited 9 Aug 2021 17:39]

We were conscious that we could have a situation where someone could donate £250 to us for shares, and then low and behold, six weeks down the line, the share issue is announced and that person then wishes that they'd kept that cash for themselves to buy shares for themself. But whilst we decided to appeal to people making a regular donation that won't have the same impact on a person as a £250 donation would do, if someone would prefer that, then that option is available. | | | |

Heres the thing, the shares have no marketplace, consequently there is no real value other than what someone else is prepared to pay for them which is why Curran is apparently now offering £10 a share. He needs to get to 50% +1 by hook or by crook or fail in his efforts. If he fails, the shares owned by Bottomley and Rawlinson may only be worth their nominal amout of 50p each , maybe even less if no one wants to buy them. Equally if Curran gets to 50% +1, the other 49.99% may be practically valueless as there is no requirement for him to buy the rest unlike the shares on the main markets where anyone achieving 30% has to make an offer to all the other shareholders at the highest price in the previous 12 months. (This btw is a clause that needs inserting into the RAFC Articles of Incorporation at some point when all this has blown over). Since its unlikely that any single supporter will cough up enough to buy 50%, the only entity that might realistically gain control and be able to guarantee that its intentions are entirely honourable is the Trust, which is why I recently joined, as an active and large membership guarantees the Trusts integrity. The trust can accept donations and raise funds via other activities to buy shares either from existing shareholders or via pre-emption. Pre-emption means that at any future shares release, the more shares the trust owns the more it needs to buy to keep its share of the total shares available. The argument that buying shares from other shareholders does nothing for the clubs finances has merit but unless the Trust has 50% how else can there be a guarantee that the club will ever be out of the reach of the likes of Rose, Curran or anyone else? Everyone has a price... if you owned the 250 shares that were needed to get to 50% how much could you afford to turn down? £100 per share? £500? £1000? On the other hand if the Trust owns 50% the members would have the whip hand to say yes or no. I understand the attraction of owning shares in the club but until over 50% are in diamond hands your investment would be little more than a donation to the club with the "perk" of having an annual invitation to the AGM (which can be achieved by owning 1 share). Better at this point, I think, to try and help the Trust to achieve 50% as quickly as possible either by transferring shares at a minimum price ( 1p each? ), or by signing a proxy every 11 months and giving the trust the ability to vote with your shares as it sees best at AGM or EGMs. | | | |
