The Official Receiver was appointed liquidator and as part of their duties, initiated an investigation into Donna Nada’s conduct and the reasons why Village Energy Solutions failed.
Enquiries uncovered that the company was originally incorporated as providing real estate and management consultant services and in its first 9 months had three different names — Rasdale Solutions Ltd, Caffe Concerto Payroll Services Ltd and Concerto Payroll Services Ltd — before settling on Village Energy Solutions.
In interviews, Donna Nada, from Ilford, Essex informed the Official Receiver that the company traded from premises in North West London and provided payroll and HR services.
But due to Donna Nada’s failure to ensure Village Energy Solutions Limited maintained and/or preserved adequate accounting records or provide any form of records to the liquidator, it was not possible to verify the true nature of £2.3 million of income and whether this accounted for all the company’s sales and income.
Donna Nada’s misconduct also meant it was not possible to determine the legitimacy of at least £1.8 million worth of payments out of the company’s bank accounts.
ESSEX PAYROLL COMPANY? Where have we heard that before?
In April 2019, a company called Morton House Business and Corporate Services Ltd bought an 80% stake in the Village Energy Solutions Limited
The person who did the buying of the 80% for MORTON HOUSE was:
DENISE VALARIE COURTNELL
In January 2020, the High Court ordered the winding up of Village Energy Solutions Limited at the request of HM Revenue and Customs
HMRC HAVE AN ESSEX PAYROLL COMPANY WOUND UP
In March 2020, Morton House Business and Corporate Services Limited then change its name to Morton House MGT and First Form Construction Limited.
The Government Article states: "Donna Nada’s misconduct also meant it was not possible to determine the legitimacy of at least £1.8 million worth of payments out of the company’s bank accounts."
I'm no expert but how does Morton House manage to own 80% of a payroll company, which is wound up by the Official Receiver and fails to know where it put £1.8m!
Fast forward to July 2021 and over £1.0m according to Alexander Jarvis turned up from nowhere to be paid for shares for a hostile takeover that no one knew about or wanted.
That's got to be the best Fans Forum question since the one from about Barry-Murphy's contract which outed Bottomley when Graham Rawlinson gave a factually correct answer!
It's also got to raise MASSIVE questions for HMRC about the current Morton House Mgt and their payroll operations under Faical Safouane and Denise Courtnell.

Until they come out on our side I would caution against any vitriolic comments toward them.

I mean - it isn't as if numerous posters on this forum haven't published page after page of public and available documents that sort of all say the same thing.
It isn't as if Charlton fans have waded in and created an actually website that shows Matthew Southall and Alexander Jarvis to be total tools.
I'm as thick as pigsh*t but if people can find them at Companies House/Google by searching for "Morton House" then what on earth are they playing at?
I have wondered over the last 8 months if the EFL were handed a signed confession with "I DID IT" written in big red pen whether they would actually act?
You are though a coach of patience and I am sure when this ends that will be proven to be right and that my frustrations that the EFL are being slow and laborious is seeing the bleeding obvious will ultimately be unfounded.

And whilst the EFL deliberate we have to go through the trauma and expense of defending ourselves without any kind of help or acknowledgement from the EFL. Their silence is, possibly, emboldening Morton House, making them think they have a case to pursue. The EFL is supposed to be an umbrella organisation for all the League clubs, right? So why aren’t they all over this, offering us (and any other league club for that matter) all the help they can muster- providing, of course, that the club is seen to be in the right. They should have a legal team on hand to help in such circumstances. Kind of like a worker would have a union representative in legal disputes with employers. Otherwise, what is the bloody point of the EFL?

£200m a year - £4m a week being recovered from criminals and those who not only don't follow the law but openly abuse it.
From that link: Some of the bigger and varied seizures and confiscations include:
a £1.7 million confiscation order imposed on a payroll fraudster who had to stump up the cash or face having 4 years added to his nine-and-a-half year sentence.
Hopefully Denise Courtnell and Faical Safouane are on the list for an early morning visit from FIS in 2022, if only just to explain what Morton House was doing whilst it was the owner of Village Energy Solution Limited.
I'm sure Denise could say at the time whether Morton House as its owner felt it has proper accounting records or not!

It seems that the authorities are placing a great deal of scrutiny on the period between two dates: (a) 22nd August 2018 (b) 5th December 2019
3.1.2 the League shall have the power to require the Club and/or the Person who proposes to acquire Control to appear before it and to provide evidence of the ultimate source and sufficiency of any funds which that Person proposes to utilise to acquire Control and/or invest in or otherwise make available to the Club.
EVEN THE INSOLVENCY SERVICE SAYS THEY DON'T KNOW WHERE THE MONEY CAME IN FROM (£2.3m) OR WENT TO (£1.8m) - AND IF THEY DON'T KNOW THEN HOW CAN THE EFL POSSIBLY HOPE TO KNOW?
Perhaps Alexander Jarvis or Matthew Southall can release an immediate statement tomorrow on this to clarify the position, the latter claiming he had a deal to buy 25% from the aforementioned Morton House?
Village Energy Solutions has now had its registered office address changed from Tower Bridge House St. Katharines Way London E1W 1DD to 30 Old Bailey London EC4M 7AU on 11 May 2022

Now that the season is over, we can return to all things Morton House.

2021 accounts also included investments of £1,262,800
Cash + investments worth £3,047,249. Phenomenal growth in such a short period by an established business that toddled along with pennies in the bank for such a long period.

Michael Pallott and Adam Harris of Mazars LLP have filed a progress report in the winding up of the court of the company owned by Morton House which can't explain where £1.8m went.
Page 8 - Progress in the Period
The Joint Liquidators have conducted their own investigations including a detailed review of the Company's bank statements which revealed numerous transactions that were out of the ordinary course of business. No books and records were maintained by the Company, or available for inspection, and as a result, significant further enquiries were required to identify the payments and receipts to the Company's bank account.
Numerous payments were made by the Company following the presentation of the petition to wind-up the Company. Section 127 of the Insolvency Act 1986 renders void and disposition of property by a company made in the period between presentation of the winding up petition and the making of a winding up order on that petition unless the court orders otherwise.
Solicitors, Gowling, were instructed by the Official Receiver in this regard. Gowling are continuing to assist us in this regard and the matter remains ongoing. The sum of £5,804.00 is being held by Gowling to cover Court fees and deposits.
Investigations remaining ongoing and at the present time it is not appropriate for me to provide any further details as doing so may prejudice any future litigation. If possible, I will provide an update on the progress made in the next report/
Should creditors have any information which they consider may assist the Liquidators in carrying out their investigations, or be aware of any matters which they believe should be brought to the attention of the Liquidators please provide details in writing to this office.
The two directors of the Company in its life were Mark Farrugia and Donna Nada.
Morton House controlled the Company from April 2019 and at that date, the lady in charge was Denise Valarie Courtnell.
Jarvo has dropped them right in it here by outlining the whole web and network links between seemingly opaque arrangements.
When a Liquidator says "Numerous payments were made by the Company following the presentation of the petition to wind-up the Company." but they then say they can't find £1.8m, it should mean that someone somewhere is trawling through bank statements to see where the money went.
Interesting times in the payroll and HR services space and just in time for an upcoming Cheshire based wedding too.
