Rochdale AFC is pleased to announce that World Soccer Holdings LLC have today signed a Letter of Intent to purchase Rochdale AFC.

The deal is subject to Shareholder approval of the resolutions to create shares at the EGM on the 7th March 2024.

Rochdale AFC Chairman Simon Gauge stated: "We are delighted to receive the LOI from World Soccer Holdings.

"Investment in the club is essential for our survival, and WSH tick so many of the boxes that we have been looking for in an investor.

"They have a track record in sporting investments and have a long-term sporting plan for the club and come with expertise in the field.

"We look forward to engaging with them, shareholders, local politicians, and suppliers to meet the conditions that are required to conclude the sale of the club."

World Soccer Holdings CEO Scott Dyer said: "We are really pleased to be moving forward with investment in Rochdale AFC.

"We have great respect and admiration for the history and the culture of the club, and we are grateful for the hard work and sacrifices undertaken by both the staff and board and the supporter’s trust to make this partnership possible.

"We look forward to engaging now with the Dale Trust to answer any questions that they may have regarding our investment and with local politicians to gauge the level of support we can expect to receive to support our investment in RAFC.

"We could not let 100 years of history go to waste, and we believe we can work together to elevate The Dale back to its previous heights and beyond.

"We look forward to visiting Rochdale for the game on the 9th March against Oxford City."

I do find it interesting that they accepted a 24% stake in Maastricht but the inference is that they insisted on at least 90% in us. The Maastricht investment was also lower - around € 750k. Maastricht have been a financial nightmare for decades but they do appear to have have had a better couple of years on the pitch recently - which bodes well.

I'm taking the 'track record' with a pinch of salt. It's a relatively new endeavour. The outfit that CD left to form/run World Soccer Holdings has some big ideas - they are behind the proposal to build soccer stadia (well, at least one, in Fort Worth. Doesn't look like it's off the ground yet though.

There doesn't appear to be anything to be immediately worried about - which is good, but DD is about more than a Google search!

My understanding is that a 'Golden Share' is generally accepted as being Wirth 51%. It would appear that one remaining shareholder has 51% of the club. This obviously inset the case when the buyer takes a 90% share.

There are other posts asking whether the 90% holding allows the buyer to make a compulsory purchase move for the remaining 10%. Yes, under UK law this is the case. The offer must come with three months of the 90% control being gained and the price is the same as that paid for the share value of the 90% purchased. The compulsory purchase option definitely applies across share types but what I'm not 100% certain about is whether a share of nominal value 50p (our ordinary shares) can be purchased for the price of the 'A' Share nominal value (or actual purchase value) when the 'A' Share nominal value is below that of the Ordinary Share.

Brentford’s Supporters Trust did something similar when they sold Brentford FC to Matthew Benham. Benham then needed their agreement before he could move the club from Griffin Park to the Gtech Community Stadium.

There is no reason Rochdale’s board can’t negotiate something similar. If WSH refused to accept this kind of arrangement (noting that it’s the structure at MVV) then that would be a red flag.

To transition from that philosophy to an approach that fails to consider any of the available options to protect the long term future of the club from a “bad” or reckless owner would be extraordinary and hard to justify and understand.

If a buyer objects, fair enough. There’s then a choice to be made. An objection and the reasons for it would contain potentially valuable information though.

To be clear, I’ll vote my shares in favour of the resolutions because there is no choice. I hope the Board is across the issues though. We’ll see.

Your second last sentence is where I'm at but as I still have over 24 hours in which to place my Proxy then I shall be holding tight - 24 hours could be a long time in football politics!

No worries. To state the obvious, the time to do this is now. It shouldn’t be difficult to organise or to secure shareholder approval for it at another EGM. The Trust is the obvious entity to hold this Golden Share.

Once control is ceded no owner is likely to make this concession and, of course, a Golden Share could potentially be structured to bind all future owners, not just WSH.
