Another Interested Party.. on 10:00 - Mar 8 by Yorkshire_Dale | Exactly who now decides which offer is best and which has exclusivity ?? Need to get it right, but how. |
In evaluation of bids, there needs to be a clear and transparent marking criteria for each attribute of a bid which is presented. Eg price, value added, due diligence, proof of funds, long term commitment, vision, cultural fit. Some of these are binary pass fails, others could be marked with a score /10. Given the potential that exists for claims of conflict of interest, the marking panel needs to be impartial, and ought in my view to be chaired by the Trust Board representative. This isn’t a legal requirement, but having a clear transparent scored criteria enables selection without the risk of challenge from any disgruntled losing parties. I’m sure the board are all over it. Another Interested Party.. on 11:54 - Mar 8 by SandyArising | Who gets the choice of deciding the preferred bidder ? Surely not just SG ? He may go for the worst option just to ensure his 500k gets paid straight away to him. Are the other Directors involved in the decision including the Trust. Will that feed down to Trust members to have a say ? Slimy Simy will try and do what's best for him and disappear not giving a toss about the club. |
Let’s hope it’s a vote rather than just a solitary decision. We’ve been fans a lot longer than SG’s been in charge and only want what is best for the club. Hopefully he will send out a statement to explain how the decision will be made with regards choosing investment. Or will he stay silent and push the WSH holding bid through before anyone can do anything? Can the trust make a statement on this, next steps, process etc…?

Another Interested Party.. on 12:27 - Mar 8 with 4213 views | CockneyDale | For me, at face value the new bid is exciting (for competition, if nothing else). I’ll be interested to read the full proposition on the 14th, as well as hopefully something similar from WSH. It’s notable the second bid gives bios on two significant people but not the others - I’d be wanting to do some research on the others too. Ultimate size of pockets is a big question, as well as how they intend to improve revenues and develop our offering to do that. I agree with those arguing we should give a good account of ourselves - on and off the pitch - on Saturday. Let’s get them even more excited! Not sure I share the level of cynicism of those worrying SG will just favour the bid that gives him (some of?) his money back soonest. He will naturally have some subconscious bias, but the decision is not his alone: there’s a whole board, that includes the Trust. And I have every confidence in the Trust to represent us.

A) The Board.. thats why they are there, they have legal responsibilities. B) No, not just Simon... why would you think that? C) No, the Trust members will not get a say except via their Board member. Which is why he is there. There will not be another vote by shareholders. D) If Simon didn't give a toss he would not have helped the club through the last few months at a personal cost of £566k plus his Morton House shares and his £25k investment just to become a director. Have you actually got anything constructive to say?
Another Interested Party.. on 12:34 - Mar 8 with 4158 views | Duckegg | It is a long week between now and the 14th and more could happen.. Three things stood out for me. Property development Golden Share. 5% to the trust. Is TFC goingto purchase 100% or 90% and give 5% of the amount! Both parties or another party who may hand in a LOI will now need to put forward a plan to move forward, improve the club, a 2 season or longer financial package and how long do they think it will take to get back into the EFL Also what are their intentions if Dale do not bavk into the EFL within that time scale..

Disagree at (A) The business is owed collectively by the shareholders and it is for them to decide who is their preferred bidder. The Board are employed to oversee the business and manage it to the best of their ability on a day-to-day basis, but they are only doing so on behalf of and with the consent of the shareholders. They act FOR us, according to how we instruct them, just like any other business operates.

Another Interested Party.. on 12:50 - Mar 8 with 4054 views | Mundell | I can’t believe the board would make a decision to sell the company without shareholder approval and nor would any informed buyer want to risk entering into a transaction that hadn’t been put to shareholders. I assume they’ll be another EGM, therefore. Most likely, the board will recommend a sale to one of the interested parties to shareholders, no doubt with a gun pointed at our collective heads, but it will be difficult for the board to do this without at least some reference to the pros and cons of the alternatives. Unfortunately, the ins and outs of any sale may prove to be academic. Three weeks to sign, seal and deliver a transaction isn’t very long at all and it may well be that even if there is more than one party with serious and genuine interest (and we don’t even know that for sure) the club will be sold to the buyer who can complete within the required timetable.

The board could also request clarification from Andy Burnham, and hold a gun to his head He's publicly stated that he wouldn't be prepared to see Dale go under if bids couldn't be finalised within the stated deadline

I pointed that out on a post earlier, but that could just be they only just received a POI and still have to talk to them. None of us have a clue about the suitability of the bids on offer and it would n’t be advisable to pick a side as such. We don’t know the invidiuals their experience, ideas for the club or their finances. The last thing we want is to start slating potential investors because we like the sound of another. I think the trust should have a role to play in assessing the bids and reporting to its members. But ultimately the board are the ones who have the facts and will make the decision. I’d like to see a statement from the club saying how they are going to proceed over the next few days and weeks, in terms of any other parties and how they will assess the bids. If there are any other interested parties they will need to get their LOI in soon.

Another Interested Party.. on 09:58 - Mar 8 by DaleiLama | The first question that springs to mind is why this local lad with an interest in Dale has only just come forward. One could speculate that the sales price is the answer, but let's gloss over that for now. The thing that I've been wondering about is how do you evaluate two deals in parallel. The club has now been valued absolutely as 9m x A share price. So all deals are the same if you acquire those 9m A shares. The only thing which would differentiate them is "extras". So each bid has until end of March (if SG is to be believed) to pitch the "extras" and presumably to formalise them in contracts, otherwise they are worth the square root of FA. But this process was designed to get a deal over the line quickly by selling the shares at a fixed price. Unless there's something we haven't been told, it seems this approach is flawed? |
They haven't just come forward - they've been in the background for a while. According to their press release they attended 2 matches in February. I assume that the Board has been doing Due Diligence in the meantime.....

There's a lot of fan service in what they say. The golden share and percentage to the trust doesn't really amount to anything. It may just be terrible communication on their part but there's something off about the whole thing. Hopefully they'll provide facts and honesty rather than hyperbole on the 14th. It's certainly good there's at least a second party.

This is absolutely true, however there is nothing to stop any new owner from allowing the fans to have a vote on the future of the stadium/location of new stadium as mentioned in my post re Lincoln City With ownership of 90% of the shares, they can be as inclusive or otherwise as they wish and there's sweet football association we can do about it. Vetting any potential owners is the best safeguard we have and, Gauge should remove himself from this process if he has a shred of decency left.

A true "Golden Share", as defined in Recommendation 28 of the Fan-Led Revue for Football Governance does place safeguards on the stadium. Safeguards on the ground form the first two points of the definition. Club badge, 1st Team Home Colours and Name are also in there - as is a further provision regarding competitions other that FIFA, UWFA, FA designated ones. An interested party should not be going public with "Golden Share" without qualifying that it is "Golden Share as defined by the Fan-Led Review". Anything other than this is misleading. It's not that there is nothing to stop a new owner from engaging with fans regarding a new home - it's more that the Golden Share should make it mandatory that the Group holding the Golden Share are fully agreed with the changes - otherwise the veto can be employed. It is an important clarification and one for The Trust to raise. Given the background of Mr Corrado I would find it difficult to believe that the Stadium is on the long term agenda. I'm not against a spanky new stadium - but it should be one that fans are in agreement with.
